Connexup provides a range of software solutions for restaurant businesses, which include but are not limited to:

• Restaurant Operations: Business profile management, CMS-powered websites, location management, catalog and menu management, order management, Kitchen Display Systems (KDS), and delivery service integrations.
• Sales Products: 3rd-party order aggregator, Kiosk app, whitelabel mobile and web ordering solutions.
• Marketing Products: Social media integrations, email marketing tools, and campaign management.
• Data Platform: Customer data collection, Customer Relationship Management (CRM), and data analysis.

3. Account Registration

To use certain features of the Services, you are required to register for an account. You must provide accurate and up-to-date information during registration. You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account.

4. Merchant Responsibilities

Merchants using Connexup’s platform are responsible for ensuring compliance with all applicable laws, including but not limited to privacy, consumer protection, and labor laws. Merchants must also ensure that data related to customers, orders, or operations entered into Connexup is accurate and in compliance with the law.

5. Customer Data

Merchants may collect, process, and store personal data of their customers via Connexup’s data platform features. Connexup acts as a data processor on behalf of merchants. Merchants are responsible for managing their customer relationships and ensuring that customer data is processed in accordance with applicable privacy laws.

6. Fees and Payments

Certain features of Connexup require payment. You agree to pay all applicable fees associated with your use of the Services. Fees are non-refundable unless explicitly stated otherwise. Connexup reserves the right to change its fees and pricing structure at any time, with notice provided to affected users.

7. Intellectual Property

Connexup retains all rights, title, and interest in and to the Services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your business operations in compliance with these Terms. You may not modify, distribute, or create derivative works based on Connexup’s intellectual property.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
• Attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, decompile, or attempt to extract source code from the software.
• Interfere with or disrupt the integrity or performance of the Services.

9. Third-Party Services

Connexup may integrate with third-party services such as social media platforms, delivery providers, or payment processors. Connexup is not responsible for the content or functionality of third-party services, which may be subject to their own terms of use and privacy policies.

10. Limitation of Liability

To the fullest extent permitted by law, Connexup shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if Connexup has been advised of the possibility of such damages. Our total liability to you for any claim arising from or related to these Terms or the use of the Services will not exceed the amount you have paid to Connexup in the past 12 months.

11. Warranty Disclaimer

Connexup provides the Services "as-is" and "as-available," without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, completeness, or availability of the Services at any given time.

12. Indemnification

You agree to indemnify and hold harmless Connexup, its officers, directors, employees, and affiliates from and against any claims, damages, losses, or liabilities arising out of your use of the Services or any violation of these Terms.

13. Termination

Connexup may suspend or terminate your account or access to the Services at any time, with or without notice, if you breach these Terms or if Connexup deems your use of the Services to be detrimental to its interests or the interests of other users.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in San Francisco, California.

15. Modifications to the Terms

Connexup reserves the right to modify or update these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website or by other means. Your continued use of the Services after any such modification constitutes acceptance of the new Terms.
